General
These general terms and conditions exclusively apply to all work, quotes and agreements by AiPOX. Deviating conditions from the client do not apply unless agreed in writing.
Collaboration Form
AiPOX operates as an independent contractor and acts in its own name and for its own account and risk. There is no employment relationship. The client has no authority over the manner of execution. AiPOX determines its own working hours, methods and resources, subject to agreed end results.
Liability
AiPOX's liability is limited to the amount paid out by professional liability insurance. In the absence thereof, liability is limited to a maximum of the invoice amount of the relevant assignment. AiPOX is not liable for indirect damage, consequential damage, lost profits or business damage.
Payment
Payment is made within 14 days of the invoice date, without discount or offset. In case of late payment, the client is in default by operation of law and AiPOX is entitled to charge statutory interest and collection costs.
Intellectual Property
All software, documentation and working methods developed by AiPOX remain the property of AiPOX, unless expressly agreed otherwise. The client receives a right of use for the agreed purpose.
Confidentiality
Both parties commit to confidentiality of all confidential information. This obligation also applies after termination of the collaboration.
